Wingtech files lawsuit in Chinese court, seeks $1.1 billion in damages and full control of Nexperia

Wingtech Technology has filed a lawsuit against Nexperia in China, demanding to regain full control of the company. In addition, Wingtech is seeking approximately $1.1 billion in damages.

Wingtech, the Chinese owner of Nexperia, alleges that the actions taken by the Dutch authorities and courts are considered “discriminatory restrictive measures” under China’s Anti-Foreign Sanctions Law.
According to the Chinese tech company, Nexperia has actively cooperated with the Dutch government to implement illegal measures. Therefore, Wingtech is asking the Intermediate People’s Court of Dongguan City to declare the actions by the Dutch government and Nexperia unlawful.
In addition, Wingtech is demanding that Nexperia withdraw the Dutch court proceedings.
In January, the Dutch Enterprise Chamber launched an investigation into alleged mismanagement by Wingtech CEO Wing Zhang. Because of this, Zhang has been suspended, and Wingtech’s control over Nexperia remains limited.
Furthermore, Wingtech demands that Nexperia do everything in its power to persuade the Dutch Ministry of Economic Affairs to withdraw the ministerial decree of September last year.
At the time, the Dutch government took control of Nexperia, citing national security and concerns about the company’s future in Europe. The measure has since been suspended, but not formally withdrawn.
If Nexperia doesn’t comply with these demands, the court should force the company to transfer ownership of its Nexperia-related subsidiaries back to Wingtech, free of charge.
Lastly, because Nexperia has actively supported the Dutch government’s actions, the company is directly responsible for the damages Wingtech suffered. Therefore, the Chinese owner is demanding $1.1 billion in damages.
In its response, Nexperia says that “it is not, and never has been, Nexperia’s intention to harm the interests of Wingtech's shareholders, nor that of our customers and partners worldwide.” Instead, Nexperia initiated proceedings before the Enterprise Chamber solely to stop severe mismanagement.
“Since October 2025, we have repeatedly and explicitly invited the leadership of Wingtech to engage in an open dialogue to come to a solution that benefits all parties involved, including Wingtech’s own shareholders. In this regard, the new litigation initiated by Wingtech today does not demonstrate a constructive attitude despite all our previous efforts. We regret that Wingtech appears not to be interested at all in reaching a solution that would be beneficial to all stakeholders, including Wingtech's shareholders, and continue to urge Wingtech to engage in an open dialogue,” Nexperia concludes its statement.
Earlier this month, Wingtech sought $8 billion in damages from the Netherlands for its intervention at the chip manufacturer.
